The capital raising signals an important milestone for Sprint. Funds raised via the Convertible Debt will enable the Company to accelerate the re-entry program at Block 71-1 on the Tomsk Project. Whilst the re-entry will be accelerated post this raising, equipment has continued to be mobilized for the drilling of new well number 6 and we expect work to continue through the summer months with major works to commence once the weather permits, expected from December 2013.

Tomsk Project

Sprint has acquired the option to obtain a 74% interest in the Tomsk Project, which is situated in the prolific Tomsk Basin in West Siberia. The West Siberian Basin is the largest oil and gas producing region in Russia, both in the geographical area it covers and the recoverable oil and gas it contains.

Highlights:

• Hodges completes 75% earn in of the Morupule South Project.
• Neighbouring Botswana coal mine starts exporting coal through the Durban port in South Africa.
• The Government of Botswana closes the tender for the refurbishment of the Morupule A power station and requests expressions of interest for 300MW power station development in same area from independent power providers.
• The 2,500 metre drilling program now completed over the eastern block at Morupule South.

Under the terms of the agreement, Hodges has earned 75% of the project by paying SDNP US$500,000 on execution of the agreement and spending US$3,000,000 over two years on the project. The companies will now incorporate a special propriety company in Botswana that will hold the permit (formation of the JVCo); Hodges can then exercise its option to acquire an additional 24% in the JVCo once this is complete.

Hodges recently concluded a 2,500m drilling program over the shallow coal area within the eastern block. The drill program completed the outstanding expenditure commitment for the joint venture.

Hodges Managing Director Mark Major said that the Company was extremely happy with reaching this milestone as well as the projects progress and exploration thus far.

“It is clear we have a sizeable asset with low cost operational and capital development opportunities in a developing region. The area is becoming more active with the Government of Botswana tendering the refurbishment of the Morupule A powers station (132MW) and announcing a Request for Prequalification from independent power producers for a 300MW power development next to the nearly completed Morupule B power station (600MW), all of which will be less than 8km from our proposed mine.” Mr. Major said.

During the second year of the joint venture the budget will be increased to $557,000 following a review of airborne geophysical surveys completed in 2012. The expanded program includes gravity surveys, further induced polarization surveys, structural analysis and drill testing of select geophysical targets. Under the terms of the joint venture, MMC and MC will earn an option to collectively acquire a 49% participating interest in the Arthurville tenement through total expenditure of $970,000.

The price of gold has dropped from US$1,605 per ounce to US$1,4751. The S&P/ASX Gold Index has dropped by 24% and the S&P/TSX Global Gold Index is down 22%.

In addition, just about every gold company listed on the ASX and the TSX over this period has seen its share price drop materially with some as much as 49% and the average across the Australian listed gold sector down around 23%2.

Whilst this volatility is obviously not good for shareholders of either Troy or Azimuth, it does underscore and reinforce the compelling logic of the proposed combination of Troy and Azimuth.

In an environment where gold and equity markets are unforgiving and investors are increasingly risk averse, the Troy offer will bring together the best attributes of both companies in one group which will have the technical skills, financial capacity and geological prospectivity to deliver value to shareholders over the long term.

Troy will bring two producing mines, a technical team with a proven track record in cost effective and profitable mine development and exploration upside along with the balance sheet and financial capacity to rapidly bring the West Omai project into production.

Azimuth will bring an existing high grade resource capable of rapid development in the new company, exciting exploration upside and important in-country expertise to help move the West Omai project forward.

For these reasons, the directors of both Troy and Azimuth remain convinced about the merits of combining the two companies and continue to unanimously recommend the offer to Azimuth shareholders.

The company has successfully completed one full year of operations at the Kanmantoo Copper Mine

The directors and CEO unanimously recommend that shareholders accept the Troy offer in the absence of a superior offer.

The offer came at the end of another active quarter in which Azimuth has continued to develop its West Omai gold projects in Guyana, with exploration drilling continuing and an upgraded mineral resource announced.

Highlights:

• Russell Clark appointed as Chief Executive Officer on 21 January 2013.
• Resource upgrade announced 7 February 2013. The Company reported increased JORC Code and NI 43-101 compliant inferred resources:
  • Total inferred resources increased to 16.7Mt at 3.0g/t Au for 1.65Moz gold;
  • Contained within the total resource, the Smarts Deposit is 8.1Mt at 4.2g/t Au for 1.08Moz.
• Scoping study completed. Results are robust and encourage Azimuth to progress study work to pre-feasibility stage, with infill resource drilling planned for commencement next quarter.
• High grade gold discovered Larken Prospect, West Omai. Initial assays, and follow up drilling completed during the quarter reported:
  • LRC007 12m @ 4.6g/t Au from 25m
  • LRC025 5m @ 9.7g/t Au (from 52m) – reported on 8 April 2013
• Azimuth releases corporate video on website showcasing the Company’s Guyana projects

Commenting on the quarter Azimuth CEO, Russell Clark said the Takeover Bid by Troy follows an extended period of achievement by the Company, including another active March Quarter, where the potential of its prospectively world-class gold project in Guyana were enhanced with the resource upgrade.

“The Takeover Bid by Troy Resources is confirmation of the quality of projects we have. Combining our resources with their development and operational know how and their funding capability, whilst maintaining ownership of 45% of the new entity is, we believe, good for shareholders. As a result the Takeover Bid has been recommended by the Board and myself.” Mr Clark said.

The Company is delighted to report this development to shareholders, and views this as achieving the most significant milestone since acquiring the K2O Utah Potash Project.

The US BLM Federal Potash Exploration Permit awarded to K2O Utah is the first one to be granted in Utah for more than 25 years according to company research. K2O Utah is also the only applicant to receive a “Non-Known Potash Leasing Area (Non-KPLA) Designation” in Utah during this time.

Mr Ben Binninger, Director, Potash Minerals, said “The timing of the approval and the expansion of exploration activity at the project could not come at a better time.”

“Currently the US market is primarily supplied from imports. New sources of domestic potash will help the USA become more self-sufficient in this critical agricultural commodity.
